1. Acceptance of Terms

By accessing or using the Builder CRM platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including account holders, visitors, and third-party users.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using the Service, you represent and warrant that you meet this requirement.

3. Services Provided

Builder CRM is a business automation platform that includes CRM tools, communication features, marketing automation, lead generation services, AI chatbots, call agents, and other add-on services.

Builder CRM may update, enhance, or discontinue parts of the Service at its sole discretion.

4. Account Registration and Responsibilities

You agree to provide accurate and complete information during registration and to keep your login credentials secure. You are solely responsible for all activity under your account. Notify us immediately of any unauthorized access.

5. Subscription, Billing & Cancellation

Builder CRM operates on a subscription model. By subscribing, you authorize us to charge your payment method for recurring fees unless canceled in accordance with our policy.

Cancellation does not absolve you of outstanding balances. Charges for phone numbers, A2P registration, domain setup, and email usage may apply based on usage and are passed through from third-party providers.

6. Refund Policy

All subscription fees are non-refundable unless otherwise explicitly stated. No refunds will be issued for unused time, partial months, or unused features. Promotional offers may not be combined or retroactively applied.

7. Acceptable Use Policy (AUP)

You agree not to use Builder CRM to:

Send spam or unsolicited communications.
Violate privacy or telecommunication laws, including but not limited to TCPA, CAN-SPAM, GDPR, and A2P 10DLC regulations.
Transmit unlawful, misleading, harmful, or offensive content.
Abuse email, SMS, or phone capabilities.
Interfere with or disrupt the platform's operation.

Violation of this policy may result in immediate suspension or termination and possible legal action.

8. Fair Usage Disclaimer

Unlimited features are subject to fair usage as determined solely by Builder CRM. We reserve the right to throttle, restrict, or suspend services in cases of excessive or abnormal use.

9. Customer Compliance Responsibility

You are solely responsible for ensuring your use of Builder CRM complies with all applicable laws and regulations. Builder CRM is not liable for your legal or regulatory obligations.

10. Third-Party Services

Builder CRM integrates with third-party providers (e.g., Twilio, Mailgun, Google, Meta). We are not responsible for the performance, availability, pricing, or compliance of third-party services. Use of these services is at your own risk and subject to their respective terms.

11. Data Retention & Deletion

Upon account termination, we reserve the right to delete all customer data after 30 days. You are responsible for exporting your data prior to closure. We are not liable for data loss after this period.

12. Emergency Suspension Rights

We reserve the right to immediately suspend or disable your access without notice if your use threatens system integrity, violates laws, or poses a risk to other users or third parties.

13. Beta Features

Certain features may be marked as "beta" or "experimental." These are offered "as-is" without warranty and may change or be removed without notice. Use at your own risk.

14. Intellectual Property

All Builder CRM content, software, and branding are the property of RED Media Network LLC. You may not copy, reproduce, or distribute any part of the Service without permission.

You retain ownership of your content but grant us a license to host and process it for the purpose of service delivery.

15. Force Majeure

Builder CRM shall not be liable for delay or failure in performance due to events beyond our reasonable control, including but not limited to natural disasters, internet outages, power failures, government restrictions, or labor disputes.

16. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee uptime, error-free operation, or data accuracy.

17. Limitation of Liability

To the maximum extent permitted by law, Builder CRM and RED Media Network LLC shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed the amount paid by you in the previous 6 months.

18. Indemnification

You agree to indemnify and hold harmless Builder CRM, RED Media Network LLC, and its affiliates from any claims, losses, or liabilities arising from your use of the Service or breach of these Terms.

19. Termination

We may suspend or terminate your access at any time, with or without cause. Upon termination, all rights granted to you will immediately cease.

20. Modifications

We may revise these Terms at any time. Changes will be posted on our website. Continued use of the Service constitutes your acceptance of the revised Terms.

21. Governing Law

These Terms shall be governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Travis County, Texas.
